Legal and Compliance Officer

Company Overview: ACE & Company (“ACE”) is a private equity and venture capital group with over 20years of successful investment experience; managing more than $2 billion in total assets across Secondaries, Buyouts, Ventures, and Investment Solutions, ACE is headquartered in Geneva and operates with a team of 40+ employees across offices in Zurich, New York, London, and Cairo.

Role Overview: As a legal professional and part of the global Fund Finance and Operations team, you would be mainly: (i) managing NDAs and assisting with KYC/AML compliance efforts; (ii) verifying and maintaining tax documentation required from investors for FATCA and CRS reporting; and (iii) assisting with the review and completion of transfer agreements and subscription documents for various transactions.

Start date: As soon as possible.

Office Location: Smart Village, Alex Desert Road, Giza, Egypt.

Your Duties:

• Managing the NDA review and streamlining the information-sharing process with third parties.
• Assist with KYC/AML compliance efforts for investment funds across multiple jurisdictions, as well as with KYC/AML compliance for the funds’ investors. Verify and maintain tax documentation required from investors in relation to FATCA and CRS reporting. Assist with FATCA and CRS tax filings.
• Establish offshore bank accounts to facilitate the financial operations of investment SPVs/funds.
• Draft and review agreements, including services agreements, transfer agreements, and subscription documents for various transactions.
• Support due diligence investigations on prospective investment companies and investors, collaborating with external legal advisors.
• Draft board resolutions for investment funds and ensure compliance with corporate governance standards and regulatory requirements.

Your Qualifications:

• Minimum of 3 years of experience in corporate law and/or compliance, preferably in a financial environment.
• Experience in KYC/AML compliance for investment funds or similar is a plus.
• Bachelor’s degree in law (must be English or French Section only).
• Fluent communication skills in English, both written and verbal. French is a plus.
• Strong problem-solving skills and the ability to think critically and strategically.
• Precision in reviewing documents and agreements to ensure accuracy and compliance
• Efficiently managing time and prioritizing tasks to meet deadlines. High level of initiative, a learning mindset, and a team player.
• Independent and self-motivated, with the ability to thrive in an autonomous work environment. Digitally savvy with experience in AI tools.
