Senior Manager, Legal, Compliance & Risk Control

This position will be responsible for legal, compliance and governance matters relating primarily to the Company's rapidly expanding Data Center business, as well as logistics projects and domestic fund formation and capital raising activities.

The successful candidate will provide legal support and legal advice throughout the entire lifecycle of the real estate fund business while working closely with various business functions.

Key responsibilities include:

• Provide legal support and legal advice throughout the lifecycle of the real estate fund business in relation to Data Center projects, logistics projects and domestic fund formation and capital raising activities, including land acquisition, development, fund financing, asset management during the fund lifecycle, leasing, property management and equity fundraising.

• Support the preparation and amendment of asset securitization plans and related regulatory filings with the Kanto Local Finance Bureau under the Asset Securitization Act, while leveraging the expertise of external law firms and other professional advisers.

• Participate in cross-functional projects and proactively drive matters forward while working closely with business teams and ensuring compliance with applicable legal and regulatory requirements.

• Support the preparation, review, negotiation and execution of various agreements in collaboration with external legal counsel.

• Review, draft and negotiate contracts in both English and Japanese, including real estate-related agreements, fund-related agreements, investor agreements, finance documents, construction and development agreements, leasing agreements, property management agreements, service agreements and other commercial contracts.

• Provide legal advice in close collaboration with internal business teams, overseas Fund Management teams, Global Legal and external advisers.

• Handle complex legal matters with a high degree of independence under the guidance and support of the Senior Director.

• Approximately eight (8) to ten (10) years or more of legal experience in real estate investment, real estate funds or related fields, or experience in leading and executing transactions within a front-office business function while working closely with legal teams.

• Practical experience as a legal or front-line staff member in data center projects and project finance projects.

• Strong English language skills, Willingness to actively engage in English-language work, including contract matters and day-to-day communication, together with a strong commitment to developing professional proficiency in both Japanese and English.
