About this role

Job Summary

The Corporate Real Estate Paralegal provides comprehensive legal support to the General Counsel, managing complex real estate transactions, corporate governance, contract lifecycles and litigation. This individual will oversee the closing process for acquisitions and dispositions, conduct intensive title and survey reviews, manage property compliance, coordinate investors relations, maintain the company's corporate entities, and coordinate litigation management.

Key Responsibilities

Real Estate Transactions

  • Transaction Management: Oversee real estate acquisitions, dispositions, financing transactions from inception to closing, and track transactions and critical dates.
  • Closing Coordination: Prepare closing checklists, coordinate with escrow agents, compile closing books, and manage post-closing deliverables.
  • Due Diligence: Review and analyze title commitments, exception documents, property surveys, zoning reports, and environmental assessments.
  • Lease & Contract Administration: Draft, review, and organize commercial leases, amendments, non-disclosure agreements, and vendor contracts.
  • Corporate Governance: Form and maintain corporate entities (LLCs, LPs), draft operating agreements, and manage annual state filings. Manage corporate governance documents, maintain a central database, and track critical deadlines.
  • Regulatory Compliance: Monitor local zoning laws, property taxes, and land-use regulations.
  • Department Administration: Track legal bills and outside counsel, and maintain the legal department's digital filing system.

Investor Relations & Fund Administration

  • Investor Onboarding: Manage subscription agreements, investor questionnaires, and Know Your Customer (KYC/AML) verification processes.
  • Capital Calls & Distributions: Coordinate with finance teams to draft, track, and issue capital call notices and distribution updates to investors.
  • Compliance Filings: Assist the General Counsel with SEC regulations, blue sky laws, Form ADV, and Form D filings for real estate funds.
  • Investor Communications: Prepare quarterly reports, investor presentations, and annual general meeting (AGM) legal materials.
  • Portal Management: Maintain the secure investor relations portal, ensuring all financial statements and tax documents (K-1s) are securely uploaded.

Corporate Governance

  • Entity Management: Form and maintain LLCs, LPs, and corporate subsidiaries for specific real estate assets.
  • Board & Committee Support: Prepare resolutions, meeting minutes, and corporate governance materials.

Litigation

  • Support: Manage real estate litigation files from inception to resolution. Manage corporate governance documents, maintain a central database for active real estate disputes, and track critical deadlines.     
  • Discovery Management: Oversee the e-discovery process, including document review, redaction, organizing documents and communications.
  • Outside Counsel: Track budgets, billing, and case status updates, as well as communicate with external law firms as required by General Counsel.
  • Legal Research: Conduct factual investigations and legal research using platforms like Westlaw or LexisNexis to evaluate litigation risks and rights.

Qualifications & Requirements

  • Education: Bachelor’s degree or an ABA-approved Paralegal Certificate preferred.
  • Experience: Minimum of 4-6 years of commercial real estate paralegal experience blending commercial real estate law with corporate governance and investor relations. (in-house or top-tier law firm).
  • Skills: Proficient in reviewing complex title and survey documents.
  • Technical Skills: Proficiency with investor management software (e.g., AppFolio Investment Management, IMS) and entity management portals.
  • Core Competencies: Strong organizational skills, high attention to detail, and ability to manage multiple transactions simultaneously. Extreme discretion regarding material non-public information (MNPI), meticulous editing skills, and strong cross-departmental communication.
