The Director, Compensation is responsible for the design, development, implementation, governance, and administration of the organization's global compensation programs. This role ensures compensation strategies are market competitive, performance-driven, compliant with regulatory requirements, and aligned with business objectives. They lead the development of broad-based employee compensation programs while serving as the organization's subject matter expert for executive compensation, including base pay, short and long-term incentive plans, Board of Directors compensation, proxy-related compensation disclosures, and executive compensation governance. The position partners closely with senior leadership, Human Resources, Legal, Finance, and the Compensation Committee of the Board of Directors.

The Director, Compensation is responsible for the design, development, implementation, governance, and administration of the organization's global compensation programs. This role ensures compensation strategies are market competitive, performance-driven, compliant with regulatory requirements, and aligned with business objectives.  They lead the development of broad-based employee compensation programs while serving as the organization's subject matter expert for executive compensation, including base pay, short and long-term incentive plans, Board of Directors compensation, proxy-related compensation disclosures, and executive compensation governance. The position partners closely with senior leadership, Human Resources, Legal, Finance, and the Compensation Committee of the Board of Directors.

Job Functions:


  • Lead the design, administration, and governance of executive compensation programs for senior leaders and executives. Partner with executive leadership, Legal, Finance, and external consultants on executive compensation strategy and recommendations. Manage annual executive compensation review processes, including base salary, short- and long-term incentive awards.
  • Support Compensation Committee and Board activities, including meeting preparation, analysis, materials, and recommendations.  Benchmark executive positions using appropriate peer groups and market data.  Coordinate executive compensation disclosures and regulatory reporting requirements, including proxy statement compensation tables, Compensation Discussion & Analysis (CD&A), and related filings.  Monitor emerging executive compensation trends, governance practices, shareholder expectations, and regulatory developments.
  • Lead the design, implementation, and administration of base pay, short-term incentive, long-term incentive programs. Evaluate market trends and competitive practices to ensure compensation programs attract, retain, and motivate talent. Oversee compensation philosophy, salary structures, job architecture, pay ranges, and incentive plan frameworks.  Recommend innovative compensation solutions to support workforce planning and business transformation initiatives.
  • Ensure compliance with all federal, state, and local compensation regulations.  Oversee compensation governance frameworks, policies, and approval processes. Partner with Legal and Finance to assess compensation-related risks and ensure appropriate controls. Maintain documentation, audit readiness, and compensation program governance standards. Support compliance with public company requirements and executive compensation regulations, where applicable.Basic Qualifications:Education and Experience: Bachelor’s and 7-10 years of broad base, executive and board compensation.

    Preferred Qualifications:
  • Education: Master's degree in Human Resources, Finance or Business Administration. Additional Basic Qualifications: Must be 18 years of age or older

Compensation

The compensation range for this position is $150,000.00 - $200,000.00 bi-weekly salary. This position will be eligible for commission or an annual performance incentive plan. The base pay actually offered will vary depending on job-related knowledge, skills, location, experience and take into account internal equity.
