Hexcel is currently seeking a highly skilled and motivated Assistant General Counsel – Director, Securities & Governance for our Stamford, CT, USA location. This position reports to the Deputy General Counsel.

This role is ideal for an experienced attorney with deep knowledge in securities law, corporate governance, and public company compliance and with interest in supporting the company’s strategic contracting, regulatory risk management and compliance. The successful candidate will thrive in a fast-paced, global environment and demonstrate exceptional judgment, professionalism, and discretion.

The selected individual will be responsible for but not limited to the following obligations:

  • Advise on compliance with U.S. securities laws, SEC regulations and NYSE stock exchange requirements.

  • Lead the preparation, review, and filing of periodic and current SEC reports (e.g., Forms 10-K, 10-Q, 8-K), proxy statements, Section 16 filings (Forms 3, 4, 5) and other public disclosures.

  • Oversee drafting and review of earnings releases, investor presentations, press releases, and other stockholder and public communications.

  • Oversee securities-related aspects of equity compensation programs, executive compensation disclosures, and related governance disclosures.

  • Lead preparation of the annual proxy statement and organization of the annual meeting of stockholders.

  • Oversee the execution of the annual corporate governance calendar, including board and committee meetings, resolutions, agendas, and materials.

  • Manage insider trading policy, including insider trading compliance, trading window schedules, and clearance procedures.

  • Monitor and analyze emerging legal, regulatory, and governance developments that impact the company and its stockholders.

  • Serve as legal advisor on corporate transactions, including M&A, financing, and tax structuring, from due diligence through closing.

  • Lead legal oversight of legal entity management and ensure compliance with domestic and international entity requirements.

  • Collaborate with cross-functional teams (Finance, IR, HR, Compliance, Tax) on disclosure controls and procedures, risk management, and strategic initiatives.

  • Lead special projects as assigned by the Chief Legal Officer and Deputy General Counsel, including updates to corporate policies and procedures, risk management and compliance training and reporting.

  • Draft, review, and negotiate commercial contracts as requested.

  • Manage outside counsel and advise on cost-effective strategies.

Qualifications:

  • Juris Doctor (JD) from an accredited law school; active bar membership in good standing.

  • Minimum 5 years of relevant experience, with significant exposure to securities law and public company governance.

  • Prior in-house experience at a public company or law firm experience advising public companies.

  • Deep understanding of the ’34 Act, NYSE rules, director independence standards, and corporate governance best practices.

  • Exceptional written and verbal communication skills, with strong attention to detail.

  • Ability to provide clear and concise, business-oriented legal advice.

  • Proven ability to manage multiple priorities and workstreams independently.

  • Excellent negotiation, analytical, and problem-solving skills.

  • Sound judgment and ability to make decisions under pressure with imperfect information.

  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, Co-Pilot).

  • Experience working with cross-functional teams and senior leadership.

  • Ability to travel up to 10% (i.e. team meetings)
